1. Scope and Definitions

These General Terms and Conditions apply to all contracts between Vales Deutschland GmbH (hereinafter referred to as “Contractor”) and its business customers (hereinafter referred to as “Client”) concerning the placement of personnel, the provision of temporary staff, as well as the performance of other services related to medical and non-medical personnel. “Services” include, in particular, personnel placement, temporary employment, and supplementary consulting services. 

2. Subject Matter of the Contract

The Contractor provides the following services: 
a) Placement of personnel from Germany and abroad 
b) Provision of temporary staff in accordance with the German Temporary Employment Act (AÜG) 
c) Performance of other services related to medical and non-medical personnel 

 

3. Conclusion of Contract and Written Form

    1. Our prices are exclusive of VAT at the statutory rate applicable on the date of invoicing. 
    2. A contract is concluded upon written confirmation of the offer or acceptance of the service. Amendments and additions require written form. 
    3. If we accept checks or bills of exchange by special agreement, this is done only for the purpose of fulfillment; any check or bill of exchange fees shall be borne by the customer. 
    4. Offsetting by the customer with counterclaims is excluded unless such counterclaims have been legally established, are undisputed, or acknowledged by us. To this extent, a right of retention is also excluded. 

 

4. Obligations of the Parties

    1. The Contractor undertakes to carefully select the personnel placed or provided. 
    2. The Client shall provide all necessary information and ensure compliance with legal regulations at the place of assignment. 
    3. The Contractor undertakes to comply with the guidelines of the “Fair Recruitment” quality seal. 
    4. The client shall ensure that an appropriate workplace inclusion management plan is in place. The measures outlined in the plan shall be implemented, documented, and maintained to ensure transparency and accountability for all parties involved. 

5. Contract Term and Termination

The contract term is agreed individually. Terminations must be in writing. For temporary employment, the statutory provisions of the ABG apply. Framework agreements for personnel placement are concluded for an indefinite period. 

6. Recruitment Conditions – “Fair Recruitment” Quality Seal

Vales Deutschland GmbH is committed to exclusively facilitating employment contracts that meet the conditions of the “Fair Recruitment” quality seal. The guiding principles are as follows:

    4. Transparency regarding Structures, Services, and Costs 
    5. Sustainability and Participation 
    6. Overall Responsibility throughout the Entire Service Chain

7. Remuneration and Payment Terms

Remuneration is agreed individually. Unless otherwise stipulated, invoices are payable within 14 days of receipt without deduction. Price changes for long-term contracts are permissible if announced in writing. 

8. Liability and Warranty

The Contractor is liable only for intent and gross negligence. For slight negligence, the Contractor is liable only for the breach of essential contractual obligations (cardinal obligations), limited to foreseeable, typical contractual damage. The Contractor assumes no liability for the conduct of the placed or provided personnel. 

9. Confidentiality

Both parties undertake to keep all confidential information obtained in the course of cooperation secret. 

10. Data Protection

The processing of personal data is carried out in accordance with applicable data protection laws. Further information can be found in our Privacy Policy. 

11. Place of Jurisdiction and Applicable Law

German law applies. The place of jurisdiction is Munich. 

12. Severability Clause

Should individual provisions of these General Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
